Overview
The Register of Overseas Entities came into force in the UK in 2022. Under these rules, foreign entities buying, selling, or transferring UK property/land must register with Companies House and declare their beneficial owners or managing officers.
The goal is to enhance transparency in the beneficial ownership structures of overseas entities holding UK land.
The Register of Overseas Entities strips away the anonymity previously used by organised crime networks to hide wealth in UK land. Mandating full identity disclosure for overseas owners and controllers isolates illicit actors while reinforcing the UK’s position as a transparent jurisdiction for legitimate business investment.
What An Overseas Entity Is
An overseas entity is a non-UK organisation, such as a company or partnership that has its own distinct legal personality.
